The Italian yachting industry has witnessed a significant development as The Italian Sea Group (TISG) announced the resignation of its Chairman and Chief Executive Officer, Giovanni Costantino, with immediate effect. The resignation of board member Gianmaria Costantino, Giovanni's son and a non-executive director, has also resulted in the dissolution of the company's entire board of directors, marking the beginning of a new phase for one of Italy's most recognised luxury yacht builders.
The change comes during a critical period for TISG, which has been navigating a court-supervised restructuring process following the discovery of substantial cost overruns on several yacht construction projects. Earlier this month, the Court of Florence granted the company temporary protection from creditors, allowing it time to prepare and submit a restructuring plan aimed at restoring financial stability.
In an official statement, the company explained that the outgoing directors believe they have taken the restructuring process as far as possible and that a change in governance is expected to strengthen confidence among stakeholders, support business continuity, and create the best possible outcome for creditors. Until a new board is appointed by shareholders, the existing directors will continue to oversee the company's operations on an interim basis to ensure continuity.
Giovanni Costantino, who transformed The Italian Sea Group into one of Italy's leading luxury yacht builders, will remain the majority shareholder through GC Holding S.p.A., retaining indirect ownership of more than 53% of the company's shares. Importantly, the company confirmed that his resignation is not linked to any
employment disputes or financial agreements, and no severance payments or additional benefits will be made in connection with the departure.
